How does it work? Does the board have to execute if they vote against it's recommendation?
The board recommended voting a no on this last month, but a lot has happened since then, including Saylor presenting this to them.

It's 2024 Saylor. Don't loose your time with Gates' distro and convincing old directors. Dilluting ghosts and spirits, remanescences of the past. Use your time to build the alternatives of archane future and the bridges for those who will cross them.

Yup. That's why I'm wondering if they have any leeway in interpreting the shareholder view in case vote is against their recommendation.
Did he already present that for some of them?
I believe he already presented it.
And yes it's the shareholders that vote on this. The board recommended a no vote, but they could change their minds or shareholders could rule in the favor of doing so.
