How does it work? Does the board have to execute if they vote against it's recommendation?

The board recommended voting a no on this last month, but a lot has happened since then, including Saylor presenting this to them.
Yup. That's why I'm wondering if they have any leeway in interpreting the shareholder view in case vote is against their recommendation.
Did he already present that for some of them?
